2022年9月19日付けでポルシェIPOに関連する証券の目録見書が発行されました。

今回、ポルシェAGによって発表されたのは以下の通り:

  • 優先株式の価格帯は1株あたり76.50~82.50ユーロに設定されている
  • 価格帯は87.1億~93.9億ユーロの価値(オーバーアロットメントの可能性を含む)に相当する
  • オファー期間は2022年9月20日~2022年9月28日の予定
  • QIA、Norges Bank Investment Management、T. Rowe Price、ADQは、最終的なオファー価格が上限に達した場合、合計で最大36.8億ユーロ相当の優先株式をコーナーストーン投資家として引き受ける
  • 優先株式は2022年9月29日頃にフランクフルト証券取引所の規制取引(プライムスタンダード)に上場し、取引開始予定

ポルシェAGで財務&IT担当の取締役のルッツ・メシュケ(Lutz Meschke)氏は、ポルシェのIPOは順調に進んでいると話され、堅牢なビジネスモデルと素晴らしい財務実績を持つポルシェはIPOする準備万端だとのこと。

IPOへ向けて、ポルシェAGの株式資本は911ミリオンシェア(9.11億株)!!に分割され、そのうち50%が優先株で、50%が無記名株式。

いやもう、私としてはこの株式資本が911に分けられるというだけで「おおお」って思っているレベルです(笑)。

To cover potential over-allotments, the Selling Shareholder has agreed to make available a specified number of Preferred Shares to the Underwriters. In addition, the Selling Shareholder has granted the Underwriters an option to acquire a number of Preferred Shares equal to the number of Preferred Shares allotted to cover over-allotments during the Stabilisation Period (as defined below). In connection with the placement of Preferred Shares, BofA Securities Europe SA will act as the stabilisation manager and may, as stabilisation manager, make over-allotments and take stabilisation measures in accordance with legal requirements (Art. 5(4) and (5) of Regulation (EU) No 596/2014 in conjunction with Articles 5 through 8 of Commission Delegated Regulation (EU) 2016/1052) to support the market price of the Preferred Shares and thereby counteract any selling pressure.
